Payment Terms

The following Payment Terms, regulate payments you make or receive through the BIYRO platform biyro.com (the “Platform”), which operated by SaaS Factory OÜ, (Harju maakond, Tallinn, Kesklinna linnaosa, Sakala tn 7-2, 10141) referred to as "Biyro", "we" or "us", "you" or "user" refers to you as a user of this platform.

Payment Service Providers provide payment services to the BIYRO platform, including the purchases, collection of funds, withdrawal, currency exchange services.

In BIYRO we use payment service providers, such as Stripe, Paypal.

Please read carefully these Payment Terms before making or receiving any payments through the Platform. These Payment terms are an integral part of BIYRO Terms of Service. By making or receiving a payment through the Platform, you confirm and agree to these Payment Terms including the terms of the payment service providers.

Purchasing on BIYRO

General terms

Buyers pay BIYRO in order to place an order from Seller on the Project confirmation page. The purpose of Payment Service Providers is to collect funds using the integrated payment process.

BIYRO acts like a Sellers authorized payment collection agent for the purpose of organizing the payment collection and acceptance process from Buyer. The Buyer’s payment obligations to Seller will be confirmed and satisfied by the BIYRO according to these Payment Terms.

For most of the locations, you can make a purchase on BIYRO using Credit Cards and Paypal.

Most of the purchases on BIYRO include a services fees that cover administrative fees. You can review and accept the total amount requested to pay before your purchase. The current service fees for the purchase amount are 5% of the purchase amount. The minimal fee is 1 EUR.

You may not offer Seller / Buyer to pay or make a payment using any method outside the biyro.com platform. If you have been asked for an alternative payment method, please report it to our Customer Support here immediately.

You agree to receive invoices and receipts from BIYRO in electronic form in PDF format, by email or through the Platform.

Payment information is collected by Payment Service Provides to protect against unauthorized transactions, fraud, money laundering and claims. Your payment information is the subject to the privacy policy of the Payment Service Provider. Please read our Privacy Policy for more information.

By using any payment method for making a purchase on BIYRO, you confirm that:

• Such actions do not violate any applicable laws.
• You are authorized to provide such information legally
• You are legally authorized to make payments using the selected payment method
• If you are an agent or employee of a company, you are authorized by that company or person to make payments on BIYRO

Currencies

In BIYRO we have multiple currencies. The primary currency of a project is selected by Seller. Unless otherwise your invoice and the purchase amount will be displayed in the selected currency. In some cases you may change the payment currency on the Payment Service Provider payment page during the purchase process.

Your balance or any other aggregated display will be always valued in EUR. This means it may change daily in accordance with the exchange rate.

Promo Coupons

In BIYRO we may offer you promo coupons (promo codes) for purchasing Projects, Add-ons or other services from the platform. Promotional codes are the special discounts related to a specific term of use. Promotional codes may have different time limitations and restrictions. To apply your promotional code, enter the code on the Project checkout page. We have the right to modify or cancel promotional codes at any time.

Taxes

By default, BIYRO charges users with VAT tax for all the purchases. Any amount is required to collect will be in addition to the purchase amount and any other fees payable by the Buyer. And any amount that BIYRO is required to withhold will be deducted from the Sellers revenue according to the applicable laws.

The VAT is always shown to the price on the Platform and is displayed to the Buyer before the payment.

Users are responsible for paying any indirect or direct taxes or income taxes which may apply to them depending on the location, residency or under provisions of their jurisdiction.

VAT rates

• 0%, if you are a legal entity located in the European Union with a valid VAT number.
• 20%, if you are a legal entity located in the European Union without a valid VAT number or you are a private person located in the European Union.
• 20%, if you are a legal entity or a private person located in Estonia.
• 0% if you are a legal entity or a private person located outside of European Union

Receiving payments from BIYRO

General terms

• Each project or an add-on you complete successfully, accredits your seller account with a revenue to 85% - 95% according to your account plan.

• Sellers are responsible for paying any indirect or direct taxes or income taxes which may apply to them depending on the location, residency or under provisions of their jurisdiction. Sellers confirm that they comply and will comply with their obligations under income tax provisions in their jurisdictions.

• If a project is cancelled for any reason, the funds paid will be refunded to the Buyer.

• All payments including the collections and withdrawals of funds on the platform are performed by BIYRO’s Payment Service Providers.

• Seller authorizes BIYRO as Seller’s authorized limited payment collection agent for the purpose of accepting payments from Buyer, and providing those payments to Seller. Seller confirms that payment from Buyer to BIYRO should be considered the same as a made directly to Seller. The payment is assigned to the Seller after it is received by BIYRO according to these Payment Terms. For any reasons, the Seller will have to recourse only against BIYRO and not the Buyer directly.

• The price shown on the Project page, add-on page and any other offers for Buyers is Seller’s tax inclusive.

Withdrawal

• Your profile can be associated with the only one payment account.

• Revenues are eligible for the withdrawal within 14 days after the project is marked as completed.

• For the security reasons, BIYRO may temporarily disable Seller’s ability to withdraw funds to prevent suspicions and fraudulent activity.

• The withdrawal process cannot be undone and cannot be stopped once it has begun.

• To initialize the withdrawal process, you must follow the withdrawal dialogue on your account. You can withdraw the amount that is available for you, in the specified currency available for you.

• Sellers are able to withdraw revenues from a disabled account after a 120 days safety period after the full verification of the account.

• All the funds eligible for the withdrawal will be held on your behalf at our Payment Service Provider. All payments processes, including the withdrawal services will be provided by Payment Service Providers. Fees of withdrawal and currency exchange fees may be applied depending on the selected withdrawal method.

Order cancellations and disputes

We ask Buyers and Sellers to solve any conflicts themselves. If there is no option to solve the conflict, users can contact BIYRO’s Customer Support for assistance.

General terms

• If a project is cancelled for any reason, the funds paid will be refunded to the Buyer. Service fees are not refundable. BIYRO has the right to assign additional fees for the process of refund.

• Applying a transaction dispute or claiming a payment through your bank or payment provider violates these Payment Terms. This may lead to account suspension. If you have applied for a dispute with your bank or a service provider, the funds will not be eligible for a refund due to our obligations to the payment provider.

• Projects can be cancelled on BIYRO’s platform or by Customer Support, depending on the situation.

• If you have any issues related to the project, you should use the Buyer / Seller support tools to resolve these issues.

• BIYRO has the right to place funds on hold or cancel a project if there is any suspicious activity.

• The assignment of the intellectual property is transferred to the Buyer after the full payment for the Project and may not be used if the Project was cancelled or delivered partially for any reason.

Revisions

Buyer may ask Seller for a revision according to the received work compared to the original Project Description.

Revisions can be requested on the Project page when the project is marked as delivered.

Sellers may determine the number of the revisions they wish to offer. Revisions can be performed by the Seller based on customer care.

It is not allowed to exploit the revisions to pull more services from a Seller beyond the Project Description or Project requirements.

Cancellations

BIYRO asks Sellers and Buyers to solve any conflicts themselves using the Buyer and Seller tools on the Project page.

The project may be cancelled by BIYRO’s Customer Support based on a number of factors including the violation of these Payment Terms, Terms of Service, or in accordance with the Buyer’s or Seller’s request.

The project cannot be cancelled based on the quality of the delivery by the Seller if this service is delivered as described on the Project Description.

You may contact BIYRO’s Customer Support to address any requests related to the project cancellation. Customer Support will allow Seller to provide a resolution first and will not take any actions against the Project before receiving a resolution from both parties. Please note that orders cannot be cancelled partially.

BIYRO’s Customer Support will be able to cancel the project (but not limited to), in the following reasons:

Cancellation of the active project

The project becomes active after the Buyer confirms the Project and makes the first payment and before the Seller delivery.

1. The Seller has not started working on the project within the specified time and is unresponsive for more than 24 hours after the order is marked as late.

2. The Seller has not delivered the order in time and is unresponsive for more that 24 hours after the order is marked as late.

3. The user is no longer available as an active user because of Terms of Service violation.

4. Seller’s delivery contains trademark / copyright materials as a part of their delivery

5. Buyer’s included trademark / copyright materials as a part of their requirements.

Cancellation of the delivered project

The project becomes delivered after Seller has delivered the made work using the Project Delivery dialogue.

1. The Seller has not delivered any reliable proof of work related to the project description and requirements. This will be reviewed manually by Customer Support.

2. The Seller requests additional payments (inside or outside of BIYRO’s platform) against the project description and agreed terms.

3. Seller has extended the project delivery time and has not delivered the made work in a proper way.

4. Users who exploit the Revision Request function to pull out more services from Seller beyond the project description and agreed requirements.

Cancellation of the completed project

The project becomes completed after it is marked as completed and before the 14 days limit.

1. Buyer’s / Seller’s who have been reported to use any trademark / copyright materials without prior confirmation.

2. Customer Support team will review this case manually

Refunds

BIYRO does not refund payments automatically. Refunds directly to your payment provider can be performed by Customer Support, based on the original payment amount and currency.

We may limit the total amount of times users can request a payment refund for the security reasons to prevent fraud and abuse.

Refunds may be subject to additional fees.

General

Revenue is the money earned by a Seller from completed projects and can withdraw it as a subject to these Payment Terms.

For any reasons, the Seller will have to recourse only against BIYRO and not the Buyer directly.

Modifications of these Payment Terms

We may make changes to these Payment Terms from time to time without a prior notice. You confirm and agree that if you use BIYRO after the Payment Terms have been changed, BIYRO will treat you using the updated version of Payment Terms.

Warranty disclaimer

THE USE OF THE PLATFORM, BIYRO AND ANY OF OTHER SERVICES, ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. ALL THE SERVICES ARE PROVIDED ON “AS IS'' AND “AS AVAILABLE” BASIS, WITHOUT ANY KIND OF WARRANTIES, EITHER IMPLIED OR EXPRESS. NEITHER ANY PERSON ASSOCIATED WITH BIYRO PLATFORM NOR BIYRO MAKES ANY REPRESENTATION OR WARRANTY WITH RESPECT TO THE SECURITY, QUALITY, ACCURACY, COMPLETENESS, RELIABILITY OR AVAILABILITY OF THE PLATFORM. THIS DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAWS.

BY ACTING AS THE LIMITED AUTHORIZED PAYMENT COLLECTION AGENT OF THE SELLER, BIYRO ASSUME NO LIABILITY FOR ANY OMISSIONS OR ACTS OF THE SELLER.

BIYRO INCLUDING ITS AFFILIATES, EMPLOYEES, AGENTS ARE NOT RESPONSIBLE FOR ANY KIND OF DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USAGE, OR INABILITY TO USE THE PLATFORM, ANY WEBSITES LINKED TO IT. THIS INCLUDES ANY CONTENT ON THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM INCLUDING ANY INDIRECT, SPECIAL, DIRECT, CONSEQUENTIAL DAMAGES. INCLUDING BUT NOT LIMITED TO, LOSS OF REVENUE, EMOTIONAL DISTRESS, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USAGE, LOSS OF GOODWILL, LOSS OF DATA. THIS DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAWS.
